交易機器人授權服務契約

您同意使用現代財富科技股份有限公司經營之 MAX 數位資產交易所 (以下合稱

「MAX」)所推出之交易機器人授權委託服務（含現貨網格交易服務與現貨平均

成本（下稱「DCA」）交易服務）（以下合稱「本服務」），並依照本交易機

器人授權服務契約（下稱「本契約」）委託授權 MAX 進行您所指定相關條件

之買賣單操作交易。您於開啟使用本服務之前，須先詳讀本契約條款內容，且

您同意並充分了解下列約定：

1. 您同意並了解於使用本服務前，已確實詳閱本服務相關資料之各項說明及其

內容，並於了解各項風險之前提下，審慎評估判斷您自身狀況、您的風險承

受能力以及本契約所載內容後，始決定是否開啟或使用本服務。

2. 您同意並了解，您須通過 MAX 之實名驗證機制，始得於 MAX 使用本服

務。您同意並了解，於您使用本服務時，除前開限制外，若 MAX 有其他內

部風險控制措施或資格要求限制者（包括但不限於就特定虛擬通貨種類鎖倉

之要求等），您亦應遵守該相關限制。若您於本服務期間內，有未達到或未

通過 MAX 實名驗證機制要求或 MAX 其他內部風險控制措施或資格要求限

制之情事者，MAX 得提前終止本服務或本契約。

3. 您在開啟使用本服務，即依本契約內容與您選擇並設定本服務之各項參數

（包括但不限於買賣單設定、委託交易機器人交易之交易對、參數區間與其

上下限價格、投入總數額等），委託授權 MAX 進行本服務。其他關於本服

務之具體細節內容均應依本服務相關頁面所載。

(1) 現貨網格交易服務

I. 當您使用現貨網格交易服務時，您應自行進行包括但不限於相關參數及區

間等之網格策略相關設定，以啟動現貨網格交易服務。您知悉並瞭解您應

確認您所設定的各項參數及您的網格策略交易內容，並就您的網格策略操

作結果負擔全數責任（無論您是否參考他人之網格策略參數）。

II. 您知悉並了解 MAX 就您設定之網格策略內容以及各項參數設定之獲利與

否不負任何聲明或保證之責，您應自行決定並設定自身欲操作之網格策略

內容，並應承擔您因操作網格策略所產生之風險。

(2) 現貨 DCA 交易服務

I. 當您使用現貨 DCA 服務時，您應自行進行包括但不限於相關參數及區間

等之現貨 DCA 服務相關設定，以啟動現貨 DCA 交易服務。您知悉並瞭解

您應確認您所設定的各項參數及現貨 DCA 交易策略內容，並就您的現貨

DCA 交易策略操作結果負擔全數責任。

II. 您知悉並了解 MAX 就您設定之現貨 DCA 交易服務內容以及各項參數設

定之獲利與否不負任何聲明或保證之責，您應自行決定並設定自身欲操作

之現貨 DCA 交易策略，並應承擔您因操作現貨 DCA 交易策略所產生之

風險。

4. 您同意並了解，如您欲使用本服務，MAX 將會將您欲使用於本服務（包含

但不限於初始下單數量、訂單數量、與根據您就本服務所設定授權之交易機

器人服務之總下單數量）之交易數量進行圈存。

5. 就您開啟本服務中之現貨網格交易服務時，若您自身尚無基準幣別之虛擬通

貨幣種（下稱「基準幣別」）者，MAX 將可能在特定交易對之情形，開放

代您購買基準幣別 - base currency（基準幣別即為特定交易對前方所載幣

種，例如：BTC/USDT，BTC 即為基準幣別）。您同意並了解，於前開情

形，為確保您委託 MAX 進行本服務的內容得順利進行，基準幣別的成交價

格將有可能產生與市價偏移之情形，請您謹慎考量後再使用此代購基準幣別

之服務。若您不希望 MAX 代您購買基準幣別 - base currency，您可自行購

買基準幣別，並在基準幣別準備完成後，再按照設定或指示投入基準幣別及

報價幣別 - quote currency（報價幣別即為特定交易對後方所載虛擬通貨幣

種，例如：BTC/USDT，USDT 即為報價幣別）。

6. 您同意並了解如因 MAX 之因素致有維護、維修或執行錯誤之情事者，MAX

得暫停本服務或取消所有錯誤交易授權委託，於前開因素排除時，繼續執行

您就本契約所委託授權內容。如因本條情事而生之任何損失，MAX 不負擔

損害賠償之責。

7. 您同意並了解，如有必要（包含但不限於您取消本服務之授權委託、您設定

之最小下單數量經 MAX 判定失敗、您所設定之訂單不符合 MAX 要求之交

易規則或您不符合本契約第 2 條之風險控管機制或資格要求限制等），

MAX 得隨時停止本服務或終止本契約。MAX 並保留隨時修改本契約，且無

需事先通知您之權利。

8. 您同意並了解，本契約或本服務之相關說明，就風險預告僅係列舉大端，對

於本服務之風險及影響交易操作之市場等種種因素無法一一列舉與詳述。在

您使用本服務前，請您應確實就您的虛擬資產做好規劃與風險評估，您並同

意謹慎操作，量力而為，以避免貿然購買而遭受您認為難以承受之風險。

9. 您同意並了解，您使用本服務所交易之虛擬通貨，為您個人之資產，因此所

生之投資風險及利益，悉由您自行負擔與享有。本服務之相關預估報酬率均

為浮動且僅供您參考，MAX 並未就本服務之收益率，有任何關於保證利

潤、保證獲利及/或保證最低收益等之行為，或為其他任何類似之承諾或保

證之情事。

10. 您同意並了解，您使用本服務之行為除受本契約約定內容拘束者外，因您同

時使用 MAX 之服務，故同時受 MAX 使用條款內容之拘束。

11. 本契約適用中華民國法律，並將以中華民國法律進行解釋（包括但不限於本

契約的有效性、解釋、結構、履行和執行，或由本契約所生或與之相關的任

何紛爭或爭議）。任何本契約所生或與之相關的紛爭、爭議、不一致、求

償，或關於本契約的違反、終止或無效等問題，應以臺灣臺北地方法院為第

一審之專屬管轄法院。

Robot Trading Service Agreement

You agree to use/activate the Robot Trading Services which includes Spot Grid

Trading Service and Spot Dollar-Cost-Average (“DCA”) Trading Service (hereinafter

collectively referred to as the “Service”) and authorize MAX Digital Assets exchange

(hereinafter referred to as the “MAX”) to proceed trading orders according to your

designated terms and strategy. You hereby agree to carefully read this Robot Trading

Services Agreement (hereinafter referred to as the “Agreement”) prior to your

authorization hereof and using/activating the Service. You also agree and fully

understand the content of the Agreement as following:

1. You agree and understand that you have already reviewed and read the

descriptions and content of relevant materials of the Service prior to using the

Service. You have cautiously assessed your own situation and your risk

tolerance under the premise that you understand various kinds of investment

risks before your decision of whether to use the Service.

2. You agree and understand that you shall pass the real-name authentication in

order to authorize MAX and to use or activate the Service hereof. In addition,

you shall also comply with any other requirements or limitations from MAX

based on MAX’s internal risk control measures or other qualification

thresholds (including but not limited to staking certain kinds of digital

currency). MAX may terminate this Service or this Agreement in the event

that you fail to pass the real-name authentication or the internal control

mechanism of MAX.

3. When you use/activate this Service, you agree and understand to authorize

MAX to execute the trading orders set based on the conditions and strategy

you select (including but not limited to buy or sell orders, the designated

robot trading pair and its trading pairs preset intervals within a configured

price range, the upper and lower boundaries of the price range, total

investment amount in base or quote currencies) this Service and this

Agreement.

(1)Spot Grid Trading Service

I. You shall create your grid trading strategy (including but not limited to

parameters and preset intervals) to activate Spot Grid Trading Service.

You agree and understand that you shall be entirely responsible for

determining and confirming any parameters selected and/or any

applicable execution methodology to be applied to any grid trading

strategies regardless of whether such parameters and/or execution

methodology are suggested by other users or replicated from an existing

grid trading strategy created by other users.

II. You agree and understand that MAX does not make any representation

or warranty that any grid trading strategies will be profitable. You shall

decide and create your own grid trading strategy and assume any risks

associated with grid trading strategies.

(2)DCA Trading Service

I. You shall create your DCA trading strategy (including but not limited to

parameters and preset intervals) to activate DCA Trading Service. You

agree and understand that you shall be entirely responsible for

determining and confirming any parameters selected and/or any

applicable execution methodology to be applied to any DCA trading

strategies regardless of whether such parameters and/or execution

methodology are suggested by other users or replicated from an existing

DCA trading strategy created by other users.

II. You agree and understand that MAX does not make any representation

or warranty that any DCA trading strategies will be profitable. You shall

decide and create your own DCA trading strategy and assume any risks

associated with DCA trading strategies.

4. You agree and understand that MAX will earmark the trading amount you

input if you start to use /activate this Service (including the initial trading

amount and the total trading amount based on your selected trading strategy).

5. You agree and understand that MAX may purchase base currency (the

specific digital currency which is the first currency of trading pair, i.e BTC is

the base currency of BTC/USDT) on your behalf in the event that you do not

own the base currency by yourself when you activate Spot Grid Trading

Service. You also agree and understand that the filled price for the above-

mentioned situation may deviate from the market price in order to complete

your authorization. Please consider cautiously before you use this Service

under the above-mentioned situation. Provided however, you may purchase

the base currency and obtain the amount of it by yourself before you activate

this Service and input the invested amount of base currency and quote

currency into this Service (the specific digital currency which is the second

currency of trading pair, i.e USDT is the quote currency of BTC/USDT)

based on your selected trading strategy.

6. In the event of any incidents caused by maintenance, execution error or other

similar action by MAX, you agree and understand that MAX may suspend

this Service or cancel all the wrong trading orders. MAX will continue to

execute your authorized trading orders after MAX recovers the Services. You

also agree and understand to hold MAX harmless from and against any

claims, losses, expenses and liabilities arising from the foregoing situation.

7. You agree and understand that MAX reserves the right, at its sole discretion,

to terminate this Service or the Agreement if necessary (including but not

limited to you canceling the authorization hereof, your grid order fails to

suffice the minimum order quantity as determined by MAX, the orders you

place do not comply the trading rules of this Service or you fail to meet the

requirements of Article 2 hereof). MAX reserves the right, at its sole

discretion, to modify the Agreement at any time without prior notice.

8. You agree and understand that the elaboration of this Agreement or this

Service only lists general risks and is not able to list every factor affecting the

risks of this Service. Prior to using or activating this Service, you shall make

planning and risk assessment of your own crypto assets upon using the

Service. You also agree to cope with your own crypto assets with caution and

not exceed the risk level that you are able to bear to avoid suffering

unendurable risk deemed by you by hastily using the Service.

9. You agree and understand that the digital assets which you trade in this

Service belong to your own assets. You bear and assume the investment risks

and profits incurred accordingly. The expected return of this Service

fluctuates and is only set forth for your reference. MAX does not undertake

or guarantee any profits and/or minimum earnings of the Service or make

other similar undertakings in terms of the expected return.

10. You agree and understand that your behavior of using the Service is bound

by both the Agreement herein and MAX Terms of Use because you

simultaneously use MAX’s services when you activate the Service hereof.

11. The Agreement is governed by and will be construed according to the laws of

the Republic of China (including but not limited to the validity,

interpretation, construction, performance, and enforcement of the Agreement,

or any disputes or controversies arising from or related to the Agreement).

Any dispute, controversy, difference, or claim arising out of, relating to, or in

connection with the Agreement, or the breach, termination, or invalidity

thereof, shall be subject to the exclusive jurisdiction of the Taipei District

Court.
